Acceptance of Terms

The following Terms and Conditions apply to your use of our Platform (https://litcircuit.org and associated subdomains, hereafter collectively “Platform”) and your use of the products and services offered through the Platform.

This Platform is the property of Lit Circuit, LLC (Lit Circuit). By accessing the Platform, purchasing products, and/or using the services provided by us, you are agreeing to be bound by the Terms established in this agreement. Should you disagree with any component of these terms, you should discontinue using our Platform and services and terminate any accounts you established with us.

By using our Platform, you attest that you are of the legal age of majority in your jurisdiction such that you possess the legal right to enter into these Terms as a binding agreement. If this is not the case, you are not permitted to use our Platform.

Products and Services

Lit Circuit is an education company offering a variety of Products and Services (collectively, “Resources”), including the following:

Curricular Resources (Including Printed and Digital Access Products)
Online Webinars
Blogs / Vlogs
Social Media Content

When you use our Platform to access Resources, the following terms apply:

Lit Circuit reserves the right to add, remove, and modify Resources at any time. The availability of Resources may vary.
You acknowledge and agree that you are responsible for storing downloadable Resources on devices you own or are legally permitted to control.
You acknowledge and agree that Lit Circuit is not liable for issues you may have downloading or accessing Resources.
You acknowledge and agree that the Resources are either the intellectual property of or are licensed for use by Lit Circuit and are protected by copyright laws. Unauthorized reproduction of the Resources are prohibited.
Lit Circuit does not guarantee that all descriptions, images, or other information on the Platform are complete nor error-free.

Disclaimer of Warranties

The Platform and Resources are provided ‘as is’ and ‘as available’ without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and freedom from infringement or third party intellectual property rights.

Intellectual Property Rights

All text, images, videos, logos, sounds, and music on our Platform (collectively, “Content”) and in our Resources are solely owned, controlled, or licensed for use by Lit Circuit and are protected by copyright law. No content on this Platform, nor any portion of the Platform itself, may be downloaded, copied, reproduced or publicly displayed without prior written permission.

The content presented in Digital Access Products is the intellectual property of Lit Circuit. No content in a Digital Access Product may be reproduced.

Digital Access Products. When you access Digital Access Products on our website, you are responsible for your conduct. You may not reverse engineer, screen shot, or otherwise attempt to capture the content in the product with the intent to save, reproduce, print, or share the content. Additionally, you may not share your account information with other persons to provide them access to Digital Access Products.

Some features of the Platform may allow you to upload and/or post your own Content. By uploading and/or posting Content to our Platform, you are granting us a worldwide, non-exclusive, royalty-free license to use, modify, publicly display, and distribute such content in connection with operating and promoting the Platform.

User Responsibilities

When you access our Platform and/or Services, you are responsible for your conduct on our Platform and when using our services.

You may not reverse engineer, scrape information from, or otherwise attempt to automatically monitor nor collect information from our Platform using means other than the means we have purposefully provided to you through the Platform. You agree to not use any automated system, including but not limited to ‘bots’ or artificial intelligence algorithms, to access the Platform for any purpose without prior written permission. Additionally, you may not attempt to circumvent features of the site intended to restrict portions of the site to specific users (for example, attempting to bypass paywalls, sharing your account information with others, or accessing subscriber content without a subscriber account belonging to you).

Our Platform may offer you the ability to engage with other users using community forum features, which may include the posting of text, images, and/or video content. The following terms apply to your use of community forums:

You acknowledge that your profile in community forums is visible to other members of the community, Lit Circuit, and members of Lit Circuit.
You acknowledge and confirm that you will not harass, intimidate, denigrate, or otherwise harm other Users.
You acknowledge and confirm that you will not post personally identifiable information of students or other individuals.
You acknowledge and confirm that you will not post content that is pornographic, indecent, or otherwise sexually suggestive.
You acknowledge and confirm that you will not post content that is illegal, depicts or describes illegal activity, or promotes illegal activity of any kind.
You acknowledge and confirm that you possess the legal right of ownership or the licenses necessary to upload and post your content to our Platform.

Lit Circuit reserves the right to moderate community forums and user interactions on our Platform and may remove user content at any time without notice at our sole discretion. Additionally, Lit Circuit reserves the right, per our Privacy Policy, to retain removed content for reporting to legal authorities as necessary and appropriate.

Purchases

When you make a purchase on our website, the following terms and conditions apply:

For all items, you agree to pay the sale price in full at the time of purchase using one of the payment methods we offer on our website. Orders will not be processed until payment is confirmed.
Physical products are for sale within the continental United States only. Delivery times can vary based on products purchased and location.
Digital products are for sale worldwide.
- Upon purchase, you receive a non-transferable, non-exclusive license to download and use the product for personal and educational purposes.
- Digital products are not permitted to be distributed to other individuals or business entities. If your school or business requires multiple copies of digital products, you agree to contact us directly for bulk pricing.
- Digital products are the intellectual property of Lit Circuit and are protected by copyright laws. Unauthorized reproduction or distribution may result in legal action.
Digital Access Products are for sale worldwide.
- Upon purchase, you receive a non-transferable, non-exclusive license to view content on a user-restricted page on our website.
- You may not reverse engineer, screen shot, or otherwise attempt to capture the content in the product with the intent to save, reproduce, print, or share the content.
- You may not share your account information with other persons to provide them access to Digital Access Products.
- Lit Circuit reserves the right to update or modify the content of Digital Access Products at any time.
Webinars are for sale worldwide.
- Upon purchase, you will receive an email with additional information about accessing your webinar. You agree to keep this information confidential; you will not share access information with other individuals.
- Upon completion, you will receive a certificate of completion using the name you provided during purchase.
- The content of webinars is either the intellectual property of or licensed by Lit Circuit and is protected by copyright law. Unauthorized reproduction of the content in the webinar may result in legal action.

Refunds

The terms of a refund depend on the type of product or service that you purchase:

Physical products are custom-printed and shipped by our fulfillment partner Printful. As such, we only offer full returns if items are misprinted, damaged, or otherwise defective. In these cases, returns must be initiated within 10 days of receipt of the item. If you need to return an item, please first email us at help@litcircuit.org. We will provide you with detailed instructions for how to successfully return this item to our printing partner.
Digital product sales are final, and no refunds are issued. If you experience technical issues with your download, contact support at help@litcircuit.org for support.
Webinar refunds are only offered in the event that we cancel the webinar. We recognize that life happens and extenuating circumstances may prevent you from attending your seminar. In this circumstance, we may permit you to reschedule your webinar for a future session. Please contact us at help@litcircuit.org for assistance!

Accounts and Account Security

Certain features and services on our Platform require you to create an account (username and password) or use a single sign-on provider to create an account. The following terms apply to the creation and use of an account with us:

By creating an account, you attest that you are a) at least 18 years of age, b) creating a user account voluntarily, and c) creating a user account for your own personal use.
You understand and agree that you are responsible for preserving the security of your account, including maintaining the confidentiality of your password and account information.
You understand and agree that you are liable for any actions taken through your account.
You understand and agree that information you post to community forums is tied to your account and is available for reading, review, and critique by other community members.
You agree to not share your account information with another person for the purposes of allowing access to subscriber or purchased resources.
You agree to notify us via email, phone, chat, or the contact portal of any unauthorized access to your account as soon as you become aware of that access.

Lit Circuit cannot and will not be held liable for any damages or undesired outcomes associated with your failure to comply with these terms.

Privacy Policy

Your privacy is important to us, and we implement rigorous measures to ensure that your privacy is protected. Our linked Privacy Policy is made part of these Terms of Use by this reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

Violation of Terms

Lit Circuit reserves the right to terminate your use of our Platform, including access to your account and/or subscriber portal, if you violate these Terms. It is your responsibility to read and ensure that your behavior on our Platform complies with these terms. We reserve the right to retain certain user data as collected in accordance with our Privacy Policy.

Indemnification

You agree to indemnify and hold Lit Circuit and its members harmless from any demands, loss, liability, claims or expenses (including attorney’s fees), made against them by any third party due to, or arising out of, or in connection with your use of our Platform, Products, and/or Services, including your violation of these Terms.

Limitation of Liability

To the maximum extent permitted by law, Lit Circuit assumes no liability for the following:

damages arising from your use of or inability to use our Platform and/or Resources
errors, mistakes, or inaccuracies contained within the Content and Resources published on our Platform and Resources
specific student or educator outcomes
damages arising from unauthorized access to our Platform and Resources.
delays, interruptions, or failures in performance resulting from acts of God, government orders, labor disputes, cyber attacks, or other events beyond our reasonable control.
Damages arising from data breaches that are beyond our control. Please see our Privacy Policy for more information about how we collect, process, and share your data.

Additionally, our Platform may include links to third-party sites. We are not responsible for the content, privacy practices, or actions of these third-party sites and encourage you to review their terms of service and privacy policies.

Governance and Dispute Resolution

These Terms and any and all claims and disputes related to these Terms and your use of our Platform, Products, and/or Services are governed by the laws of the United States and the State of Louisiana without respect to its conflict of laws principles. You agree that any dispute arising from these Terms and/or your use of our Platform, Products, and/or Services will be resolved in binding arbitration in Shreveport, Louisiana.

Changes To These Terms

Lit Circuit reserves the right to revise these Terms at any time. Updated Terms will be posted on this page and will be effective as of the date they are posted. Your continued use of our Platform and services after the posted date of updated Terms will constitute acceptance of those Terms. It is your responsibility to regularly check these Terms for updates.

Entire Agreement and Severability

These Terms, together with our Privacy Policy and any other legal notices published by Lit Circuit on the Platform, constitute the entire agreement between you and Lit Circuit. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
